1. Ownership. This Site (StartupCoast.com) is owned and operated by Resonnect Marketing, LLC. All right, title and interest in and to the materials provided on this Site, including but not limited to information, documents, logos, graphics, sounds, and images (the "Materials") are owned either by Resonnect Marketing, LLC or by third party authors, developers, or vendors ("Third Party Providers") under license. Materials also include blogs, message boards, chats, software and any other writings appearing on the Site. All of the Materials appearing on the Site are protected by U.S. and international copyright laws. Except as otherwise expressly provided by Resonnect Marketing, LLC, none of the Materials may be copied, reproduced, republished, downloaded, uploaded, posted, displayed, transmitted, or distributed in any way and, except for the limited license set forth in Section 3 nothing on this Site shall be construed to confer any license to you, whether by implication, or otherwise in the Materials. 2. Trademarks. Resonnect Marketing, LLC, StartupCoast.com, and others are either trademarks or registered trademarks of Resonnect Marketing, LLC. Other product and company names mentioned on this Site may be trademarks of their respective owners. You agree not to display any of the trademarks of Resonnect Marketing LLC without express written permission.

3. Limited Permission to Use Materials. Resonnect Marketing, LLC hereby grants you permission to use, view, copy and print one copy of the Materials on any single, stand-alone computer solely for your personal, informational, non-commercial use and provided that (i) the copyright notice appearing at paragraph 14 below appears in the Materials, (ii) the Materials are not used on any other Web site or in a networked computer environment and (iii) the Materials are not modified in any way. 4. Conduct. Resonnect encourages open exchange of ideas among registered members through the use of our forums, blogs, comments on articles, or contact with other registered users in way. In order to further this open exchange, you agree to use the Site only for lawful purposes. Except for the information requested in the registration process, which will be handled in accordance with Resonnect Marketing, LLC’s Privacy Policy, Resonnect Marketing, LLC does not want you to submit confidential or proprietary information to it through this Site, without first contacting Resonnect Marketing, LLC. All comments, feedback, information or material submitted to Resonnect Marketing, LLC through or in association with this Site shall be considered non-confidential and Resonnect Marketing, LLC’s property, unless otherwise set forth herein or agreed to by Resonnect Marketing, LLC in writing. By providing any unsolicited submissions to Resonnect Marketing, LLC you hereby grant to Resonnect Marketing, LLC, at no charge, a worldwide, royalty-free, perpetual license to republish anything you post or submit to the Site. Resonnect Marketing shall be free to use and/or disseminate such submissions on an unrestricted basis for any purpose. 11. Children. Minors are not eligible to use the Site, and we ask that they do not submit any personal information to us.

12. Governing Law; Venue. By using this Site, you expressly agree that your rights and obligations shall be governed by and interpreted in accordance with the laws of the State of California, excluding its choice of law rules. Any legal action or proceeding relating to your access to or sue of the Site or Materials shall be instituted in a state or federal court in California, and in the County of San Diego. You and Resonnect Marketing, LLC agree to submit to the jurisdiction of, and agree that venue is proper in, these courts in any such legal action or proceeding. These terms of use expressly exclude and disclaim the terms of the U.N. Convention on Contracts for the International Sale of Goods, which shall not apply to any transaction conducted through or otherwise involving this Site.

13. Severability. If any provision of these terms of use shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remainder of the terms of use shall otherwise remain in full force and effect.
